NOT INSURANCE: TONCU GROUP LLC d/b/a TonAxis is a subscription-based membership program. Monthly fees are not insurance premiums.
1. Parties and Acceptance
These Terms and Conditions constitute a binding legal agreement between you ("Member") and TONCU GROUP LLC, an Illinois Limited Liability Company doing business as TonAxis ("TonAxis", "we", "our").

2. Nature of Service — Not Insurance
TONCU GROUP LLC d/b/a TonAxis is NOT an insurance company, does NOT hold an insurance license in any state, and does NOT indemnify actual losses.
- Does not transfer or assume insurance risk
- Does not underwrite risk pools
- Is not regulated by state insurance departments
- Is not backed by insurance guaranty funds
3. Membership Tiers

4. Qualifying Events and Eligibility
Category A: Platform suspension lasting 72+ continuous hours on an approved platform.
Category B: Employer payroll delay of 5+ business days for W-2 employees only.

One payment permitted per 12-month period.
5–13. Core Terms
Sections 5 through 13 — including exclusions, claims procedure, billing, fraud prevention, intellectual property, privacy, disclaimers, limitation of liability, indemnification, and governing law — are governed by the Member's signed Individual Membership Benefit Agreement.
14. Billing and ROSCA
Recurring billing is authorized through a separate enrollment checkbox. Members may cancel anytime through the member portal. Consent records are retained for a minimum of 3 years.
15. Limitation of Liability
AGGREGATE LIABILITY CAP: Greater of 12 months fees paid or $350.00.
No indirect, consequential, or punitive damages.
Exceptions include fraud, gross negligence causing injury or death, and liabilities that cannot legally be excluded.
16. Indemnification
Members agree to indemnify and hold harmless TONCU GROUP LLC from claims arising from fraud, illegal activity, breach of agreement, or misrepresentation.
17. Binding Arbitration and Class Action Waiver
All disputes shall be resolved by individual binding arbitration under the Federal Arbitration Act (FAA).
- Class action participation is waived
- AAA Consumer Rules apply
- Applies equally to both Member and Company
- Exceptions include emergency injunctive relief and small claims court matters
18. Governing Law
Illinois law governs these Terms and Conditions. Subject to Section 17, proceedings shall occur in McHenry County, Illinois.
